Article 1: Introduction

These Terms of Service (hereinafter "the Terms") govern the use of the Listeno mobile application (hereinafter "the Application") developed and operated by Numeraven. Listeno lets you create shared shopping lists, add items to them sorted by category, invite people close to you to collaborate on those lists and follow the progress of your shopping. Before using the Application, we invite you to read these Terms carefully, as they establish the terms and conditions that govern your access to and use of the Application.

By accepting these Terms, you acknowledge that you have read their content and agree to be bound by all of the provisions set out. If you do not accept these terms, please do not use the Application.

The Terms constitute a contractual agreement between the user of the Application (hereinafter "the User") and Numeraven. They define the rights and obligations of each party and are intended to ensure a safe and respectful use of the Application. Please note that the Terms may be subject to periodic updates, and we encourage you to review this section regularly to stay informed of any changes.

Using the Application automatically implies your acceptance of these Terms. If you have any questions or concerns about these terms, do not hesitate to contact us using the details provided at the end of this document.

Article 2: Definitions and Key Terms

Application: means the Listeno mobile application, developed and operated by Numeraven.
User: any natural person who uses the Application, whether through a guest (anonymous) account or a registered account (email/password, Google or Apple).
List: a set of shopping items created by a User, possibly shared with other Users.
Owner: the User who created a List. They alone are responsible for managing that List (settings, invitations, deletion).
Participant: a User invited to collaborate on a List of which they are not the Owner.
Item: an element added to a List (name, category, quantity, note and optional photo).
Recipe: a set of Items from the same List grouped under a name, allowing them to be added back to the List all at once.
Shopping session: a period during which the Users of a List check off the Items picked up, at the end of which a summary (duration, optional total price, split between Participants) is produced.
Listeno+: the Application's paid subscription offer, removing the limits of the free version (see Article 6).
Free trial: a period of free access to Listeno+, offered before billing begins.
Consent: a freely given, specific, informed and unambiguous indication of your wishes by which you agree to your personal data being processed for the specific purposes set out in our Privacy Policy.

Article 3: Acceptance of the Terms

By accessing the application, the user expressly undertakes to read these Terms. If you do not accept these terms or do not understand certain points, please refrain from using the application.

The Terms are accessible when you sign up to the application and can also be viewed in the Settings once you are authenticated. We encourage you to review them regularly, as they may be updated periodically.

Article 4: Description of the Service

4.1 General Overview

These Terms of Service govern the use of the Listeno mobile application, developed by Numeraven. This application aims to make it easier to organise shopping within a family or between people close to one another, by allowing Users to create Lists, add Items to them sorted by category, invite other Users to collaborate on a List, organise reusable Recipes, and follow the progress and the cost split of their shopping.

4.2 Main Features

The application offers the following features:

Creating and managing Lists: Users can create Lists by choosing a name, an icon and a colour.
Item management: adding, editing and deleting Items within a List (name, category, quantity, note and optional photo).
Recipes: creating Recipes grouping several Items from the same List, reusable to add them back to the List all at once.
Invitations: the Owner of a List can invite other Users to collaborate on it via a unique invitation link. The Owner can remove a Participant at any time.
Shopping sessions: starting a shopping session shared by all the Participants of a List, tracking progress in real time, a summary (times, optional total price, split between Participants) and viewing a history of past sessions.
Guest account: the ability to use the Application without creating a registered account, via an anonymous account (see Article 5).

Article 5: User Account and Security

5.1 Account Creation

Listeno offers several sign-in methods: a guest (anonymous) account, created automatically and with no personal information required, or a registered account via an email address and a password, a Google account or an Apple account. A guest account can be converted into a registered account at any time (merge), without losing the Lists already created.

5.2 User Responsibilities

By creating an account, the user accepts the following responsibilities:

Accurate Information: provide accurate and up-to-date personal information when creating a registered account.
Confidentiality: keep their login details confidential and not share their account with other people.
Notification of Unauthorised Use: immediately inform Numeraven of any unauthorised use of their account.

5.3 Account Security

Password: users of an email/password account must choose a secure password.

5.4 Responsible Use

Personal Use: accounts are intended for personal use and must not be shared with other people.
Respect for the Rights of Others: users must respect the rights and privacy of the other Users with whom they share a List.

5.5 Account Closure

Voluntary Closure: users have the right to permanently delete their account at any time, from the "Privacy" section of the Application's Settings. This deletion results in the deletion of the Lists the User owns, the removal of the User from the shared Lists they take part in, and the deletion of their authentication account.
Termination by Numeraven: Numeraven reserves the right to terminate an account in the event of non-compliance with these Terms or misuse of the application.

5.6 Responsibility for Device Security

Users are responsible for the security of their mobile devices, including regularly updating software and protecting against malware.

Article 6: Listeno+ Subscription

6.1 Description

The Application is available free of charge with basic features. However, certain limits apply to the free version (see 6.3). The User may choose to subscribe to Listeno+ to remove these limits. The Listeno+ subscription applies at the level of the account of a List's Owner: if the Owner of a List subscribes to Listeno+, all the Participants of that List benefit from the features unlocked on that List, without their own account needing to be subscribed.

6.2 Subscription Plans

Three plans are available:

Monthly subscription, automatically renewed each month.
Annual subscription, automatically renewed each year, at a reduced rate compared with the monthly subscription.
"Lifetime" purchase, a one-time, non-renewable purchase granting permanent access to Listeno+.

A two-week free trial may be offered on the monthly and annual plans, subject to eligibility (a free trial is offered only once per User). The "lifetime" purchase does not include a free trial.

6.3 Limits of the Free Version

Number of Lists owned: limited to a small number of Lists per account. Creating an additional List beyond this limit requires subscribing to Listeno+.
Invitations: an Owner who is not subscribed to Listeno+ cannot invite a Participant to their Lists.
Item photos: adding a photo to an Item is only possible on a List whose Owner is subscribed to Listeno+.

6.4 Subscribing and Payment

The User can subscribe to Listeno+ from the Application's Settings. Payment is made exclusively through the native payment methods of the respective platforms (Apple In-App Purchase for iOS, Google Play Billing for Android), the technical management of which is provided by our service provider RevenueCat (see Privacy Policy).

6.5 Automatic Renewal and Cancellation

The monthly and annual subscriptions renew automatically at their expiry, unless cancelled by the User at least 24 hours before the end of the current period, from the settings of their Apple or Google account — cancellation cannot be carried out from the Application itself. The "lifetime" purchase is a one-time, non-renewable purchase that does not require any cancellation.

A User who already has a subscription (monthly or annual) may purchase the "lifetime" offer in addition. In that case, please note that Apple and Google never automatically cancel an ongoing subscription at the time of a separate one-time purchase: it is up to the User to cancel their own monthly or annual subscription to avoid being charged twice.

6.6 Withdrawal Period

In accordance with applicable law, the User has a period of 14 days to exercise their right of withdrawal, subject to the legal exceptions applicable to digital content and services whose performance has begun with the User's express agreement before the end of that period (in particular in the case of a free trial or immediate access to Listeno+ features).

6.7 Refund Procedure

For refund requests, the User must contact their respective platform, Google Play or the Apple Store.

6.8 Consequences of a Cancellation, an Expiry or a Refund

Upon the expiry or cancellation of Listeno+, the limits of the free version apply again. No existing List is deleted, but the creation of new Lists is blocked for as long as the number of Lists owned exceeds the free limit. Participants who were invited beyond this limit are automatically removed from the Lists concerned.

Article 7: Use of the Application

7.1 Compliant Use

Users undertake to use the Listeno application in accordance with applicable laws and these Terms of Service. Any use contrary to these rules may result in the termination of the account and appropriate legal action.

7.2 Eligibility Requirement

The Application does not set a specific age restriction. However, in accordance with the applicable data protection regulations (in particular Article 8 of the GDPR as transposed into French law), any User under the age of fifteen (15) must obtain the consent of a holder of parental authority before creating an account and having their personal data processed by the Application.

7.3 Prohibited Conduct

Users undertake not to:

Inappropriate Content: publish, in the name of a List, an Item, a Recipe or in an Item photo, content that is offensive, illegal, discriminatory, defamatory or inappropriate.
Identity Impersonation: use another person's identity fraudulently.
Malicious Activities: take part in malicious activities, including the distribution of malware.
Circumventing the Subscription System: circumvent, in any way whatsoever, the Listeno+ subscription system in order to benefit from its advantages without subscribing.

7.4 Respect for the Rights of Other Users

Users must respect the rights and privacy of other Users, in particular by avoiding any misuse of the information shared within a common List (names, photos, shopping activity).

7.5 Uncontrolled Sharing of the Invitation Link

Users acknowledge that sharing a List's invitation link outside the circle of people for whom it is intended may allow unwanted third parties to join that List. Numeraven declines all responsibility for the consequences of such sharing and reserves the right to take measures to manage these situations (for example, by allowing the Owner to remove an unwanted Participant).

7.6 User-Generated Content

Users acknowledge that user-generated content (names of Lists, Items, Recipes, Item photos, etc.) may be visible to the other Participants of a shared List, and accept that Numeraven is not responsible for that content. Users agree not to publish content contrary to these Terms.

7.7 Reporting Inappropriate Conduct

Users are encouraged to report any inappropriate conduct, offensive content or suspicious activity to Numeraven.

7.8 Suspension and Termination

Numeraven reserves the right to suspend or terminate a user's account in the event of a breach of these Terms or inappropriate conduct, without notice.

Article 8: Intellectual Property

8.1 Registered Trademark

The name of the Listeno application as well as the associated logo are trademarks of Numeraven. These marks are protected by applicable intellectual property law. Any unauthorised use of these marks is strictly prohibited.

8.2 Extraction and Re-use of Data

The extraction, permanent or temporary transfer, as well as the re-use of all or a substantial part of the content of the Listeno application's database onto another medium, by any means and in any form whatsoever, are strictly prohibited. Any reproduction, extraction or re-use of the application's content without Numeraven's express prior authorisation is prohibited.

8.3 Limited Licence of Use

By using the Listeno application, users acknowledge and accept that they acquire no intellectual property rights in the application's content. Numeraven grants users a limited, non-exclusive, revocable and non-transferable licence to use the application in accordance with these Terms.

8.4 Authorised Use

Users are permitted to use the application's content only within the scope of the features provided by the application. Any unauthorised use, including reproduction, modification, distribution or the creation of derivative works, is strictly prohibited.

8.5 Reporting Infringement of Rights

Numeraven takes the protection of its intellectual property rights seriously. If a user notices an alleged infringement of these rights, we encourage immediate notification to contact@numeraven.com.

8.6 User-Generated Content

By submitting user-generated content on the application (names, Item photos, etc.), the user grants Numeraven a worldwide, non-exclusive, transferable and royalty-free licence to use, reproduce, distribute and display that content in the course of providing the application's services.

8.7 Termination in the Event of Infringement

Numeraven reserves the right to terminate a user's account in the event of repeated infringement of intellectual property rights or of these Terms.

Article 9: Limitation of Liability

9.1 Use of the Application

By using the Listeno application, users acknowledge and accept that the application is provided "as is" and "as available". Numeraven does not warrant that the application will be free of errors or interruptions, or that all features will always be available.

9.2 Numeraven's Liability

Numeraven, including its officers, employees, partners and suppliers, declines all liability for direct, indirect, incidental, special, consequential or punitive damages resulting from the use of, or the inability to use, the application.

9.3 Limitation of Liabilities

By using the application, users expressly agree that Numeraven shall in no event be liable for:

Loss of data or content (Lists, Items, Recipes, shopping history).
Interruptions of service or of the application's availability.
User-generated content or the actions of other Users of a shared List.
Unauthorised use of the user account.

9.4 Force Majeure

Numeraven shall not be held liable for delays, failures or interruptions of service resulting from circumstances beyond its control, such as acts of war, natural disasters, network failures or force majeure events.

9.5 Exclusive Remedy

In all cases, the users' exclusive remedy against Numeraven shall be limited to the amount actually paid by the user for the use of the application during the last twelve (12) months preceding the event giving rise to the liability.

9.6 Modification of the Services

Numeraven reserves the right to modify, suspend or discontinue any aspect of the application at any time, including the availability of features, without notice or liability to users.

9.7 Applicable Law

The limitation of liability set out in this section applies to the fullest extent permitted by applicable law, regardless of any theory of liability, whether contractual, tortious or otherwise.

Article 10: Privacy and Personal Data

By using the Listeno application, users acknowledge and accept the collection and processing of their personal data by Numeraven, in accordance with the Privacy Policy accessible from the Application's Settings. Use of the application is subject to acceptance of these Terms of Service and of the Privacy Policy.

Article 11: Changes to the Terms

11.1 Revisions of the Terms

Numeraven reserves the right to update or revise these Terms of Service at any time.

11.2 Notification of Changes

Users will be informed of changes via a notification in the application or by any other means deemed appropriate.

11.3 Continued Acceptance

Continued use of the application after notification of the changes constitutes acceptance of the new Terms.

11.4 Regular Review

Users are encouraged to review the Terms regularly to stay informed of the current conditions.

Article 12: Termination of the Account

12.1 Right of Termination

Users have the right to permanently delete their account at any time, from the "Privacy" section of the Application's Settings.

12.2 Termination by Numeraven

Numeraven reserves the right to terminate a user's account in the event of a breach of these Terms of Service or misuse of the application, without notice.

Deletion of the account results in the deletion of the Lists the user owns, the removal of the user from the shared Lists they take part in, as well as the deletion of the personal data associated with the account. Numeraven is not responsible for the subsequent retention or return of this data.

12.3 Temporary Suspension

Numeraven may also choose to temporarily suspend an account in the event of an investigation into suspicious activity or non-compliance with the Terms.

Article 13: General Provisions

The failure by either Party, permanently or temporarily, to exercise its right to require the application of any clause of these Terms shall not be interpreted as a waiver of that clause.

In the event of a discrepancy in interpretation between one of the headings at the top of the clauses and one of those clauses, the headings shall be deemed void, and only the content of the clauses shall prevail.
